Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and iDharma, Inc. (“iDharma,” “we,” “us,” or “our”) and govern your access to and use of the iDharma platform, including our website, marketplace, tools, and services (collectively, the “Platform”).

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use iDharma.

1. Eligibility

To use iDharma, you must:

  • Be at least 18 years old
  • Have legal capacity to enter into contracts
  • Agree to comply with all applicable laws and regulations
  • Complete the account registration process truthfully and accurately

Business accounts must be created and maintained by an authorized representative of the legal entity.

2. Account and Access

  • You are responsible for safeguarding your login credentials.
  • You agree not to share access or impersonate another user.
  • You may not create duplicate or misleading accounts.
  • iDharma may suspend or terminate accounts for noncompliance or abuse.

3. Platform Use

You may use the Platform for the following permitted purposes:

  • Posting or responding to projects
  • Buying or selling AI tools and software
  • Submitting or accepting service proposals
  • Managing contracts, payments, and deliverables
  • Accessing verified vendors and compliance-vetted solutions

You may not use the Platform for:

  • Illegal, abusive, or fraudulent activity
  • Data scraping, reverse engineering, or circumventing controls
  • Misrepresentation of qualifications or capabilities
  • Distributing harmful code, malware, or unauthorized access tools

4. User Responsibilities

You agree to:

  • Provide accurate and lawful content
  • Respect intellectual property rights
  • Adhere to project scopes and timelines
  • Maintain professional communication and behavior
  • Use secure and supported devices when accessing the Platform

You are solely responsible for any content or transactions made through your account.

5. Payments and Fees

  • All transactions are processed via iDharma’s secure payment infrastructure.
  • Clients agree to fund milestone payments upon contract approval.
  • Consultants agree to deliver defined work before payment is released.
  • Platform service fees may apply and will be disclosed at time of use.
  • Refunds, cancellations, or disputes are governed by Section 10 below.

6. Intellectual Property

  • You retain ownership of your own pre-existing IP and original work.
  • By listing a tool or submitting a proposal, you grant iDharma the right to display and promote it within the platform.
  • Clients must respect license terms associated with purchased tools or deliverables.
  • Unauthorized reproduction or distribution of content is strictly prohibited.

7. Confidentiality

Users agree to maintain confidentiality over all sensitive or proprietary information exchanged during the course of a project, contract, or tool transaction. This includes—but is not limited to—source code, business plans, model weights, training data, and internal documentation.

8. Verification and Certification

  • Certain platform features (e.g., tool listing, proposal submission, Certified status) require verification.
  • Providing false credentials or misrepresenting qualifications is grounds for immediate removal.
  • iDharma may review, update, or revoke verification at any time.

9. Platform Governance and Moderation

We reserve the right to:

  • Suspend or terminate accounts that violate these Terms or platform policies
  • Remove or hide tools, profiles, or proposals deemed misleading, harmful, or noncompliant
  • Delay or withhold payment pending dispute resolution or fraud review
  • Modify features, pricing, or policies with notice to users

10. Disputes

  • Disputes between clients and consultants will follow iDharma’s structured resolution workflow.
  • Platform mediation is the first step before arbitration or legal escalation.
  • All parties agree to cooperate in good faith and provide supporting documentation.

11. Termination

  • You may close your account at any time.
  • iDharma may terminate access for violation of these Terms, fraudulent activity, or non-cooperation.
  • Upon termination, all obligations under active contracts must still be fulfilled or resolved.

12. Modifications

We may update these Terms periodically. When we do, we will revise the “Last Updated” date and provide notice via the Platform or email. Continued use after an update constitutes your agreement to the revised Terms.
